GENERAL PURCHASING CONDITIONS: QUALITY, ENVIRONMENTAL AND OCCUPATIONAL HEALTH AND SAFETY (OHS) REQUIREMENTS FOR SUPPLIERS

1. Purpose

This document establishes the general quality, environmental, and occupational health and safety requirements that suppliers, subcontractors and partner companies of PROQUIMIA shall comply with when supplying products, equipment and services.

2. Scope

These conditions apply to all suppliers providing:

• Raw materials, intermediates and finished products.
• Containers and packaging.
• Work equipment, machinery and personal protective equipment (PPE).
• Services, construction works and maintenance activities.
• Any other product or service that may affect product quality, legal compliance, the environment, or occupational health and safety.

3. General Requirements Applicable to All Suppliers

Suppliers shall:

• Comply with all legislation applicable to the products or services supplied.
• Hold all required authorisations, registrations, licences and insurance.
• Meet the agreed delivery deadlines.
• Ensure the technical competence of the personnel involved in the supply of products or services.
• Maintain an appropriate process control system to ensure the conformity of products and services.
• Keep the records necessary to demonstrate compliance with applicable requirements.
• Immediately notify PROQUIMIA of any incident that may affect quality, safety, legal compliance or the environment.
• Notify PROQUIMIA in advance of any significant changes to manufacturing processes, raw materials, formulations, production sites, subcontracting, certifications or any other aspect that may affect the approved product or service.
• Maintain the conditions that led to their approval as a PROQUIMIA supplier.
• Where required by PROQUIMIA, obtain prior approval before implementing any modification to approved processes, products or services.
• Implement the necessary corrective and preventive actions in response to any detected non-conformity, analyse its root causes, implement the corresponding actions and provide objective evidence when requested.
• Immediately notify PROQUIMIA of any incident detected after delivery that may affect the quality, safety or regulatory compliance of the products or services supplied.

4. Requirements for the Supply of Raw Materials, Chemicals and Finished Products

Suppliers shall ensure:

• Compliance with the agreed technical specifications and quality requirements.
• Compliance with the established delivery deadlines.
• Conformity of the supplied product.
• Batch traceability and the inclusion of the batch number on the label.
• Proper labelling of hazardous chemicals in accordance with Regulation (EC) No. 1272/2008 (CLP) and, where applicable, with ADR regulations.
• The provision of an up-to-date Safety Data Sheet (SDS), issued or reviewed within the last three years.
• The provision of an up-to-date technical data sheet, issued or reviewed within the last three years.
• That substances comply with the requirements of the REACH Regulation for their intended uses.
• Prior notification of any changes to the composition, specifications, classification, manufacturing process or technical documentation before the product is supplied.
• A minimum remaining shelf life of six months at the time of delivery, unless otherwise expressly agreed with PROQUIMIA.

5. Requirements for Containers and Packaging

Where the supply includes containers or packaging, the supplier shall ensure:

• Proper labelling and identification of the containers.
• Compliance with the legal requirements applicable to materials intended to come into contact with the product.
• Where applicable, the provision of the ADR packaging approval certificate.
• Where applicable, the provision of the corresponding certificate of suitability for food contact.
• Identification of the materials and components used in the packaging.
• Availability of information on the composition, recyclability, recycled content and other environmental characteristics of the packaging, when requested.
• Availability of the documentation and declarations required to demonstrate compliance with the applicable legislation on packaging and packaging waste, including Regulation (EU) 2025/40 (PPWR), where applicable.
• Prior notification of any changes to the materials, components, manufacturing process or specifications of the packaging that may affect its regulatory compliance or the agreed performance.
• Compliance with the specific requirements established by the applicable legislation on packaging and packaging waste.
• Upon request by PROQUIMIA, provision of the technical information and documentation required to enable compliance with the regulatory obligations applicable to the packaging marketed by PROQUIMIA.

6. Dangerous Goods Transport

Where transport is subject to ADR regulations, the supplier shall ensure:

• Full compliance with the applicable ADR regulations.
• The use of UN-approved packaging where required.
• That vehicles, equipment and documentation comply with all applicable regulatory requirements.
• Proper load securing and vehicle cleanliness.
• That drivers hold a valid ADR certificate corresponding to the required qualification.
• That personnel involved in loading and unloading operations have received the appropriate training.
• In the case of deliveries by tank vehicle, that personnel are provided with the necessary personal protective equipment (PPE), including a fall-arrest harness, as well as the mandatory vehicle equipment (wheel chocks, fire extinguishers and any other equipment required under the applicable regulations).

7. Requirements for Work Equipment, Machinery and Personal Protective Equipment (PPE)

Suppliers of work equipment shall provide:

• The equipment technical data sheet.
• An instruction manual in Catalan or Spanish.
• The EU Declaration of Conformity.
• CE marking.
• A delivery note or installation certificate, where applicable.
• An initial calibration certificate and information on the calibration frequency for inspection and measuring equipment.
• Documentation relating to legal metrology requirements, where applicable.
• The technical training required for the proper use or maintenance of the equipment.
• Information on the commercial warranty conditions of the equipment, where applicable.
• Information on the availability of technical service, after-sales support, spare parts availability and response times.

Preference will be given to equipment offering a warranty period exceeding the statutory minimum, as well as specialised technical support with extensive coverage and spare parts availability throughout the expected service life of the equipment.

Where applicable, the following shall also be provided:

• For ATEX equipment, the EU Declaration of Conformity in accordance with the ATEX Directive.
• For partly completed machinery, the Declaration of Incorporation and the assembly instructions.

For used machinery, the supplier shall provide:

• Identification of the manufacturer, model and serial number.
• Information on the existence of CE marking and the EU Declaration of Conformity.
• Available manuals, instructions, drawings and technical documentation.
• A record of any modifications made to the machinery.
• Up-to-date photographs of the machinery and its safety devices.

For manufacturers established outside the European Union, an authorised representative established within the EU shall be designated to hold the corresponding technical documentation.

8. Environmental Requirements

Suppliers shall:

• Comply with all applicable environmental legislation.
• Hold all required environmental permits and authorisations.
• Minimise the environmental impacts arising from their activities.
• Use energy, water and raw materials efficiently.
• Minimise waste generation.
• Properly segregate the waste generated.
• Prevent emissions, spills or any other form of pollution.
• Immediately notify PROQUIMIA of any environmental incident that may affect its operations.
• Investigate any environmental incidents that occur and implement the necessary corrective actions to prevent their recurrence.
• When selecting electrical and electronic equipment, give preference to equipment with a higher energy efficiency rating, provided that suitable alternatives meeting PROQUIMIA's technical and economic requirements are available.

When managing waste arising from the work performed, suppliers shall:

• Use only authorised waste management operators.
• Keep records demonstrating the proper management of waste.
• Provide waste traceability documentation when requested.
• Manage end-of-life equipment in accordance with the applicable legislation.

9. Occupational Health and Safety Requirements

10. Sustainable Procurement

As part of supplier approval and evaluation processes, preference will be given to suppliers that have:

• A quality management system certified in accordance with ISO 9001, IFS, BRC or an equivalent standard.
• An environmental management system certified in accordance with ISO 14001 or an equivalent standard.
• An occupational health and safety management system certified in accordance with ISO 45001 or an equivalent standard.
• An implemented Code of Ethics or Code of Conduct applicable throughout the organisation.
• An internal communication or whistleblowing channel in compliance with the applicable legislation.
• Corporate Social Responsibility (CSR) policies or ESG criteria in place.
• Programmes to measure and implement actions to reduce their carbon footprint or other environmental impacts.
• Eco-design, circular economy or resource efficiency principles incorporated into their activities.
• Life cycle considerations integrated into the development, manufacture and supply of products and services, where technically and economically feasible.
• The use of recycled, recyclable or lower environmental impact materials.
• Measures to reduce packaging and optimise logistics in order to minimise transport-related emissions.
• Any other certification or initiative that contributes to improving quality, sustainability, safety or regulatory compliance.

The implementation of these management systems or initiatives may be considered as an evaluation criterion during supplier selection, approval and performance monitoring processes.

11. Right of Assessment

PROQUIMIA reserves the right to verify compliance with these requirements by requesting information, carrying out document reviews, supplier assessments or audits whenever deemed necessary.

Suppliers shall provide the requested information within the established deadlines.

12. Acceptance

Acceptance of a purchase order issued by PROQUIMIA constitutes full acceptance of these General Purchasing Conditions and of the quality, environmental, and occupational health and safety requirements set out herein.
