GENERAL PURCHASING CONDITIONS: QUALITY, ENVIRONMENTAL, AND OCCUPATIONAL HEALTH AND SAFETY REQUIREMENTS FOR SUPPLIERS

1. Purpose

The purpose of these General Purchasing Conditions is to establish the minimum quality, environmental, and occupational health and safety requirements that PROQUIMIA suppliers must comply with when supplying products, services, equipment, works, or other deliverables, in order to ensure compliance with all applicable legal, regulatory, and internal requirements.

2. Scope

These General Purchasing Conditions apply to all PROQUIMIA suppliers, including:

• Raw material suppliers.

• Chemical product suppliers.

• Packaging suppliers.

• Suppliers of machinery, work equipment, installations, and spare parts.

• Service providers.

• Contractors and subcontractors.

• Transport companies.

• Any other supplier whose products or services may have an impact on quality, the environment, or occupational health and safety.

3. General Requirements Applicable to All Suppliers

All suppliers shall:

• Comply with all applicable legislation and the agreed contractual requirements.

• Supply products and services that conform to the established specifications.

• Ensure product traceability where applicable.

• Immediately inform PROQUIMIA of any non-conformity that may affect quality, safety, the environment, or regulatory compliance.

• Cooperate with PROQUIMIA in the resolution of incidents, non-conformities, or complaints.

• Implement the necessary corrective actions whenever non-conformities are identified.

• Retain quality-related documentation for the legally or contractually required retention period.

• Ensure the confidentiality of the information and data provided by PROQUIMIA.

4. Requirements for the Supply of Raw Materials, Chemical Products and Finished Products

Suppliers shall provide:

• The Safety Data Sheet (SDS), where required by applicable legislation.

• The product technical data sheet.

• The Declaration of Conformity, where applicable.

• Analysis or quality certificates, where required.

• Information regarding substances subject to regulatory restrictions, where applicable (REACH, CLP, POP, etc.).

• Information regarding the presence of Substances of Very High Concern (SVHC), where applicable.

• Information on the origin of raw materials, where required.

• Any change in formulation, manufacturing process, raw materials, packaging, supplier or production site shall be communicated to PROQUIMIA in advance and shall require its prior approval.

5. Requirements for Packaging

Packaging suppliers shall ensure:

• Compliance with all applicable legislation.

• Compatibility with the supplied product.

• Compliance with the agreed technical specifications.

• Communication of any changes that may affect the characteristics of the packaging.

• Information on the recyclability, reusability or recovery of the materials.

• Information on the recycled content of the materials, where available.

6. Requirements for the Transport of Dangerous Goods

Where transport is subject to the ADR regulations, the supplier shall ensure:

• Full compliance with the applicable ADR regulations.

• The use of UN-approved packaging where required.

• That vehicles, equipment, and documentation comply with all applicable regulatory requirements.

• Proper load securing and vehicle cleanliness.

• That drivers hold a valid ADR certificate corresponding to the required qualification.

• That personnel involved in loading and unloading operations have received the appropriate training.

• In the case of deliveries by tank vehicle, that personnel are provided with the necessary personal protective equipment (PPE), including a fall-arrest harness, as well as the mandatory vehicle equipment (wheel chocks, fire extinguishers, and any other equipment required under the applicable regulations).

7. Requirements for Work Equipment, Machinery and Personal Protective Equipment (PPE)

Suppliers of work equipment shall provide:

• The equipment technical data sheet.

• The instruction manual in Catalan or Spanish.

• The EU Declaration of Conformity.

• CE marking.

• The delivery note or installation certificate, where applicable.

• The initial calibration certificate and information on the calibration frequency for inspection and measuring equipment.

• Documentation relating to legal metrology requirements, where applicable.

• The technical training required for the correct operation or maintenance of the equipment.

• Information on the commercial warranty conditions of the equipment, where applicable.

• Information on the availability of technical service, after-sales support, spare parts availability, and response times.

• Preference will be given to equipment offering a warranty period exceeding the legal minimum, as well as specialised technical support, extensive service coverage, and spare parts availability throughout the expected service life of the equipment.

Where applicable, the following shall also be provided:

• For ATEX equipment, the EU Declaration of Conformity in accordance with the ATEX Directive.

• For partly completed machinery, the Declaration of Incorporation and assembly instructions.

For used machinery, the supplier shall provide:

• Identification of the manufacturer, model, and serial number.

• Information on the existence of CE marking and the EU Declaration of Conformity.

• Manuals, instructions, drawings, and any available technical documentation.

• A record of any modifications made to the machinery.

• Up-to-date photographs of the machinery and its safety devices.

For manufacturers established outside the European Union, an authorised representative established within the EU shall be designated to retain the relevant technical documentation.

8. Environmental Requirements

Suppliers shall:

• Comply with all applicable environmental legislation.

• Hold all required environmental permits and authorisations.

• Minimise the environmental impacts arising from their activities.

• Use energy, water, and raw materials efficiently.

• Minimise waste generation.

• Ensure proper segregation of the waste generated.

• Prevent emissions, spills, or any other form of pollution.

• Immediately notify PROQUIMIA of any environmental incident that may affect the company.

• Analyse environmental incidents and implement the necessary corrective actions to prevent their recurrence.

• When selecting electrical and electronic equipment, give preference to equipment with a higher energy efficiency rating, provided that compatible alternatives meeting PROQUIMIA's technical and economic requirements are available.

When managing waste generated from the work performed, suppliers shall:

• Use only authorised waste management operators.

• Keep records demonstrating the proper management of waste.

• Provide waste traceability documentation when requested.

• Manage end-of-life equipment in accordance with the applicable legislation.

9. Occupational Health and Safety Requirements

Contractors and subcontractors shall:

• Comply with all applicable occupational health and safety legislation.

• Comply with the Business Activities Coordination (CAE) procedures established by PROQUIMIA and submit the required documentation before the commencement of the work.

• Ensure that their personnel have the necessary training, qualifications, and fitness for the work to be performed.

• Provide appropriate personal protective equipment (PPE) and ensure that it is used.

• Implement the necessary preventive measures to avoid accidents, spills, fires, or other emergency situations.

• Where industrial safety regulations require the registration, legalisation, or commissioning of work equipment, the supplier shall be responsible for managing and providing all documentation required for its proper legal registration with the competent authority, unless expressly agreed otherwise.

Where the work affects installations subject to industrial safety regulations (RITE, REBT, RIPCI, REP, APQ, or any other applicable regulations), the supplier shall hold the required authorisations, administrative registrations, and professional accreditations, including the corresponding RASIC registration where applicable.

10. Sustainable Procurement

As part of the supplier approval and evaluation process, preference will be given to suppliers that have:

• A Quality Management System certified in accordance with ISO 9001, IFS, BRC, or an equivalent standard.

• An Environmental Management System certified in accordance with ISO 14001 or an equivalent standard.

• An Occupational Health and Safety Management System certified in accordance with ISO 45001 or an equivalent standard.

• An implemented Code of Ethics or Code of Conduct applicable throughout the organisation.

• An internal reporting or whistleblowing channel in compliance with the applicable legislation.

• Corporate Social Responsibility (CSR) policies or Environmental, Social and Governance (ESG) criteria.

• Processes to measure and implement actions to reduce their carbon footprint or other environmental impacts.

• Ecodesign, circular economy, or resource efficiency principles integrated into their activities.

• Life cycle criteria considered during the development, manufacture, and supply of products and services, where technically and economically feasible.

• The use of recycled, recyclable, or lower environmental impact materials.

• Measures to reduce packaging and optimise logistics in order to minimise transport-related emissions.

• Any other certification or initiative that contributes to improving quality, sustainability, safety, or regulatory compliance.

The implementation of these management systems or initiatives may be taken into consideration as an evaluation criterion during supplier selection, approval, and performance monitoring processes.

11. Right of Evaluation

PROQUIMIA reserves the right to verify compliance with these requirements by requesting information, reviewing documentation, carrying out supplier evaluations, or conducting audits whenever deemed necessary.

Suppliers shall provide the requested information within the established deadlines.

12. Acceptance

Acceptance of a purchase order issued by PROQUIMIA implies full acceptance of these General Purchasing Conditions and of the quality, environmental, and occupational health and safety requirements set out herein.
